Notice of Special General Meetings

NOTICE OF SPECIAL GENERAL MEETINGS

WEST ADELAIDE FOOTBALL CLUB INC. and WEST ADELAIDE FOOTBALLERS CLUB INC.

Notice is hereby given that Special General Meetings of members of the West Adelaide Football Club Inc. and the West Adelaide Footballers Club Inc. (“the Clubs”) will be held at the Sturt Pea Room, West Adelaide Football Club, 57 Milner Road, Richmond SA 5033 on Wednesday 9^th February 2022 at 6:30 pm. The meetings will be held concurrently to consider and, if thought fit, pass the following resolution for each of the Clubs:

Resolution

That the Constitutions of the Clubs be amended to incorporate the changes shown in the marked-up versions of the Constitutions attached to this notice.

Note: The changes to the Constitutions are as a result of recommendations made to the WAFC Board by a working group which was convened to examine the existing Constitutions and to ensure that some redundant provisions are removed, that appropriate criteria for member-elected directors are included and that the Constitutions are fit for purpose.

The working group comprised the following members:

John Levy (Chair)           Former WAFC Board Member, current Honorary Solicitor of WAFC and Chair of the WAFC Governance Committee.

Tom Winter                       WAFC Life Member, long term volunteer for a range of football operation activities.

Kristen Demetriou          Former WAFC Board Member, Member Westonians Committee.

David Leydon                    Special Counsel at Minter Ellison, long term Member of WAFC.

The Board thanks members of the working group for the time that they devoted to producing their report. A copy of the report is available upon request by emailing the Club.

Proxy

If you wish to vote on the resolution and are unable to attend the meetings, you may request a form of proxy by emailing the Club. (Note: a proxy form must be lodged no less than 48 hours prior to the commencement of the meeting in order to be valid).
